Steps 3-6 overlap significantly — the best acquisitions move fast.

Step 1: Define Your Acquisition Criteria

Duration: Week 1

We define exactly what you are looking for: industry, size, location, revenue range, profitability, management team requirements, and deal structure preferences. This sounds simple but most buyers skip this step and waste months looking at the wrong targets. I help you build a clear acquisition thesis.

Deliverables

  • Acquisition criteria document
  • Ideal target profile
  • Deal structure preferences

Step 2: Sourcing & Search

Duration: Weeks 2-8

I leverage my network, business brokerage relationships, and proprietary sourcing channels to identify potential targets that match your criteria. This includes approaching off-market businesses that are not publicly listed — where the best deals are often found.

Deliverables

  • Target list with profiles
  • Initial outreach strategy
  • NDA management

Step 3: Initial Evaluation & Screening

Duration: Weeks 3-6 (overlapping)

For each promising target, I conduct a quick evaluation: preliminary financial review, market position assessment, and identification of potential red flags. This screens out bad deals before you invest significant time or money in due diligence.

Deliverables

  • Preliminary evaluation memos
  • Red flag assessment
  • Go/no-go recommendations

Step 4: Due Diligence

Duration: Weeks 6-10

I lead a comprehensive due diligence process covering financial, legal, operational, and commercial dimensions. My background in technology operations means I also assess the target's digital infrastructure, systems, and data integrity — an area most buyers overlook.

Deliverables

  • Due diligence report
  • Risk register
  • Valuation support
  • Condition identification

Step 5: Valuation & Offer Structure

Duration: Weeks 8-10 (overlapping)

I build a defensible valuation based on normalized earnings, market comparables, and the specific risk profile of the target. Then I help structure an offer that protects your interests — including earn-outs, seller financing, warranties, and transition support agreements.

Deliverables

  • Valuation model
  • Offer letter
  • Term sheet recommendations

Step 6: Negotiation & Closing

Duration: Weeks 10-14

I sit beside you through every negotiation session, helping you navigate price discussions, warranty terms, transition periods, and legal conditions. My goal is to get you the best possible deal while maintaining a constructive relationship with the seller.

Deliverables

  • Negotiation strategy
  • Final purchase agreement review
  • Closing coordination

Step 7: Post-Acquisition Integration

Duration: Months 1-6 post-close

The deal is not done when you sign. I help you integrate the acquisition — retaining key customers and employees, merging systems, realizing synergies, and stabilizing operations. Many acquisitions fail in the first 12 months due to poor integration. I make sure yours succeeds.

Deliverables

  • Integration plan
  • 90-day stabilization roadmap
  • Synergy tracking dashboard

Why This Process Works

Buying a business is the single highest-stakes financial decision most entrepreneurs make. This process de-risks every phase. The upfront investment in criteria definition and screening saves months of wasted effort. The thorough due diligence protects you from deals that look good on the surface but hide problems underneath.

What sets my process apart is the post-acquisition integration phase. Most advisors stop at closing. I stay with you through the critical first six months, when the value of the deal is either realized or destroyed. This is why my clients have a success rate well above the industry average.
